TERMS OF SERVICE

These Terms of Service ("Terms") are a legal agreement between you and PitstopHealth Limited, a company registered in Ireland with its registered office at 77 Sydney Parade Avenue, Dublin 4, D04 K0N0, Ireland ("Pitstop", "we", "us", "our"). They govern your access to and use of the Pitstop platform, including our website, AI sales coaching tools, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

DEFINITIONS
The following definitions apply throughout these Terms:
- "Client": an organization that activates or purchases Team Score or Company Score, or that otherwise uses the Services on an organizational basis.
- "Rep": an individual sales professional who uses the Services, whether independently (including under a Rep Score Activation Agreement) or as a member of a Client's team.
- "Customer Content": any real sales call recordings, transcripts, audio, text, or other materials you upload or submit through the Services relating to actual customer or prospect interactions.
- "Practice Content": any role-play session, transcript, audio, or other material generated when you or your organization's users interact with Pitstop's AI role-play features, including Challenge, to practice sales scenarios against a simulated AI counterpart. Practice Content does not involve or identify any real customer or third party.
- "Inputs": information you provide during coaching or role-play interactions, including text, goals, challenges, and performance data.
- "Outputs": the coaching guidance, scores, insights, benchmarks, and recommendations generated by the Services based on your Inputs, Customer Content, and Practice Content.
- "Pitstop Standard": Pitstop's universal, pre-defined standard for what constitutes good selling, against which performance may be measured by default.
- "Company Standard": a customized standard, configured for a specific organization as part of Company Score, that reflects that organization's own sales methodology, behaviors, and priorities.
- "Rep Score": Pitstop's free, Pitstop-activated individual-level sales coaching intelligence layer for an individual Rep, made available under a separate Rep Score Activation Agreement between Pitstop and the Rep.
- "Team Score": Pitstop's free, Pitstop-activated team-level sales coaching and execution intelligence layer, made available under a separate Team Score Activation Agreement between Pitstop and the Client organization.
- "Company Score": Pitstop's paid, bespoke AI sales coaching project or configured operating layer, built around an organization's specific sales motion, methodology, data and workflows, including a custom Company Standard, made available under separate commercial terms.
- "Order Form": an ordering document, activation agreement, or commercial agreement entered into between Pitstop and you or your organization for a specific product, including a Rep Score Activation Agreement, Team Score Activation Agreement, or Company Score commercial agreement.
- "Services": the Pitstop platform, including our website, AI coaching and role-play tools, Rep Score, Team Score, Company Score, and related features.
1. THE SERVICES
Pitstop is the Continuous Sales Coaching Company. Our Services connect practice, real customer interactions, AI coaching, and measurement in one continuous improvement system, including:
- Challenge: an AI role-play feature that lets users practice standard sales scenarios against a simulated AI counterpart and receive immediate AI coaching and feedback;
- Rep Score: free, individual-level coaching and scoring for a Rep against the Pitstop Standard, based on analysis of that Rep's real recorded sales conversations submitted as Customer Content, made available under a separate Rep Score Activation Agreement;
- Team Score: free, team-level coaching and scoring for an organization's sales team against the Pitstop Standard, made available under a separate Team Score Activation Agreement; and
- Company Score: a paid, bespoke coaching and scoring engagement built around an organization's own sales motion, including a custom Company Standard, bespoke role-play, and other configured features, made available under separate commercial terms.
Rep Score, Team Score, and Company Score are each governed by their own Order Form, which takes precedence over these Terms for the matters that agreement specifically covers. These Terms otherwise apply to your use of the Services generally, including Challenge and the Pitstop website.
The Services are provided for informational and developmental purposes only. Pitstop does not guarantee sales outcomes, revenue performance, or deal success.
The Services may expand over time to include coaching for other business execution workflows.
Pitstop may make beta, preview, or early-access features available from time to time. These are provided as-is for evaluation, may be changed or withdrawn at any time, and are excluded from any service level commitments that may apply to paid engagements.
2. ELIGIBILITY AND ACCOUNT USE
You must be at least 18 years old and have the legal authority to enter into these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and these Terms apply to both you and the organization.
You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You must notify us promptly at support@takeapitstop.com if you become aware of any unauthorized use of your account.
You represent that you are not located in, or ordinarily resident in, any country or territory subject to comprehensive sanctions, and that you are not on any applicable sanctions or restricted-party list. You must comply with all applicable export control and sanctions laws in your use of the Services.
3. PRODUCT TIERS
Pitstop makes its coaching and scoring products available on the following basis. Each product is governed by its own Order Form, summarized here for reference; where that agreement's terms differ from this summary, the agreement controls.
Challenge
Challenge is available free of charge as a core platform feature, on an as-is and as-available basis, without service level commitments or uptime guarantees.
Rep Score
Rep Score is free. It is activated by, and contracted directly with, the individual Rep, not their employer. No fees are payable for Rep Score. The Rep controls whether their individual outputs are shared with their employer or any manager, and by default Rep Score outputs are not visible to the Rep's employer.
Team Score
Team Score is free and is generally intended for teams of five or more Reps. It is provided in consideration of reasonable proof and marketing rights, such as use of the Client's name and logo on Pitstop's website and in sales materials, rather than a fee. Rep-level outputs are made available to the Client's managers only where the relevant Rep has granted permission; team-level aggregated outputs may otherwise be provided where lawful.
Company Score
Company Score is a paid, bespoke engagement for organizations requiring a custom Company Standard, custom scoring, bespoke role-play, in-call coaching, CRM workflow integrations, service levels, or other configured features. Pricing and scope are agreed contractually and are not covered by the free Rep Score or Team Score agreements.
Features, limits, and availability may vary by product and are subject to change. Pitstop reserves the right to modify inclusions with reasonable notice to affected customers.
4. FEES AND PAYMENT
Challenge, Rep Score, and Team Score are provided free of charge. Fees apply only to Company Score and any other paid engagement, and are set out in the applicable Order Form.
Unless the applicable Order Form states otherwise: paid engagements are billed in advance on an annual basis; all fees are exclusive of VAT and other applicable taxes, which are payable in addition; and all fees are non-refundable except where required by law or expressly agreed in the Order Form. You authorize Pitstop to charge your selected payment method for all applicable fees.
Paid engagements renew automatically at the end of each billing period unless either party gives written notice of non-renewal before the renewal date specified in the Order Form (or, if none is specified, at least 30 days before renewal).
Pitstop may suspend or terminate access for non-payment, after giving reasonable notice and an opportunity to remedy the non-payment.
5. CUSTOMER CONTENT, PRACTICE CONTENT, AND OWNERSHIP
You retain all right, title, and interest in and to your Customer Content and Practice Content. No ownership rights are transferred to Pitstop.
You grant Pitstop a non-exclusive, worldwide, royalty-free license (sublicensable only to Pitstop's service providers and subcontractors engaged in delivering the Services) to host, process, analyze, transcribe, and generate Outputs from Customer Content and Practice Content solely to provide, operate, secure, and improve the Services.
Outputs are derivative insights and are not designed or intended to contain reconstructable copies of your original recordings or role-play sessions.
Because Practice Content is generated through interaction with a simulated AI counterpart rather than a real customer or prospect, it does not identify or involve any third party.
As between you and Pitstop, Outputs generated for you may be used by you for your internal business and professional development purposes, subject to these Terms and the applicable Order Form.
6. CONSENT AND LAWFUL RECORDING
This section applies to real customer interactions submitted to the Services as Customer Content. It does not apply to Practice Content generated through Challenge or other AI role-play features, which involve a simulated AI counterpart rather than a real person.
You represent and warrant that you have obtained all necessary rights, notices, and consents from all participants to record, upload, and analyze any real communications submitted to the Services, and that such actions comply with all applicable laws and regulations in the relevant jurisdiction.
Recording consent requirements vary by jurisdiction. One-party and two-party (all-party) consent rules differ across countries and US states. You are solely responsible for understanding and complying with the recording laws applicable to each call you submit to the Services. Pitstop is not responsible for verifying recording consent and disclaims all liability arising from unlawful recording or use of Customer Content.
To support your compliance obligations, Pitstop may from time to time provide general guidance or resources relating to recording consent. Any such guidance is informational only and does not constitute legal advice.
7. ACCEPTABLE USE
You agree not to use the Services to:
- Violate any applicable law or regulation
- Infringe intellectual property, privacy, or confidentiality rights
- Upload unlawful, misleading, harmful, or offensive content
- Upload regulated or sensitive personal data, including special category personal data as defined under the EU GDPR and UK GDPR
- Reverse engineer, resell, sublicense, or interfere with the Services
- Use the Services to compete with Pitstop or build a similar product
- Create hateful content targeting protected groups based on race, ethnicity, religion, disability, gender, age, or sexual orientation
- Engage in activities that mislead others
- Share pornographic or explicit content
Pitstop reserves the right to investigate and take appropriate action against anyone who violates these restrictions, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.
8. AI OUTPUTS AND LIMITATIONS
Outputs, including Rep Score, Team Score, and Company Score results and role-play feedback generated through Challenge, are generated based on patterns and probabilistic analysis. They may not be accurate, complete, or suitable for every situation.
You are solely responsible for decisions and actions taken based on Outputs. Human judgment and professional oversight remain essential.
9. AI MODEL IMPROVEMENT AND DATA USE
Pitstop does not use identifiable Customer Content, identifiable Practice Content, or identifiable Outputs, including identifiable call recordings or transcripts, to train its AI models, and does not provide such identifiable data to any third party for model training. This applies across Rep Score, Team Score, and Company Score alike, whether or not you are a paying customer.
Pitstop may create aggregated, de-identified, and/or anonymized data derived from Customer Content, Practice Content, and Outputs, and use that data to improve and develop its products and services, including its scoring system, coaching logic, benchmarks, and AI and machine learning models. Such data will not reasonably identify you, your organization, or individual call participants.
You may request exclusion from this aggregated-data improvement process by submitting a written request to support@takeapitstop.com. Pitstop will process all valid opt-out requests within 30 days of receipt. Exclusion applies to data processed after the opt-out takes effect and does not require deletion of previously aggregated or anonymized data.
10. ORGANIZATIONAL ACCOUNTS
Access to performance data varies depending on which product you or your organization use:
- Rep Score: individual Rep Score outputs, including scores, coaching reports, and analytics, are controlled by the Rep. Pitstop will not share a Rep's individual Rep Score outputs with their employer or any other third party unless the Rep has granted permission. Rep Score is contracted directly between Pitstop and the Rep; the Rep's employer is not a party to that agreement and has no right to request or receive those outputs.
- Team Score: the Client organization may access team-level dashboards, leaderboards, and aggregated benchmarks. Rep-level outputs are shared with the Client's managers only where the relevant Rep has granted permission through the applicable permission flow.
- Company Score: an organization may access company-wide analytics, its configured Company Standard, and individual, team, and company-level scores, as agreed in its Company Score commercial agreement.
Access to underlying call recordings and role-play sessions depends on which product is in use and the permissions described above.
Where an organization administers a Team Score or Company Score account, users acknowledge that the organization may monitor team-level and, where permission has been granted, individual performance metrics and coaching engagement. Organizations must not use these Services as a punitive surveillance, disciplinary, or unlawful employee-monitoring system, and must not treat Outputs as the sole or decisive basis for any decision with legal or similarly significant effects on a Rep.
Client organizations are responsible for complying with all laws that apply to their use of the Services in relation to their own workers, including employment law, data protection law, any applicable works council or employee consultation obligations, and any transparency or other obligations that apply to the use of AI systems in a workplace context in their jurisdiction.
11. INTELLECTUAL PROPERTY AND FEEDBACK
Pitstop and its licensors own all right, title, and interest in and to the Services, including the platform, software, the Pitstop Standard, scoring methodologies, coaching logic, benchmarks (in aggregated form), documentation, and all related intellectual property. Except for the rights expressly granted in these Terms or an Order Form, no rights in the Services are granted to you.
If you provide suggestions, ideas, or feedback about the Services, you grant Pitstop a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you. Feedback does not include your Customer Content or Practice Content.
12. CONFIDENTIALITY
Each party may receive confidential information of the other in connection with the Services. Each party agrees to use the other's confidential information only as necessary to perform under these Terms or the applicable Order Form, to protect it with at least reasonable care, and not to disclose it to third parties except to employees, advisers, and service providers who need to know it and are bound by confidentiality obligations. These obligations do not apply to information that is public, independently developed, or lawfully received from a third party, or where disclosure is required by law.
13. THIRD-PARTY SERVICES
The Services may rely on third-party technologies or integrations. Pitstop is not responsible for third-party services and disclaims liability arising from their operation or availability.
14. PRIVACY AND DATA PROTECTION
Our Privacy Policy explains how we collect, use, and protect personal information. By using the Services, you acknowledge our Privacy Policy.
Conversations, role-play sessions, and performance data submitted through or generated by the Services are processed to deliver personalized coaching, generate execution insights, and improve service quality. Team administrators may access coaching conversations, role-play activity, and individual performance data only in accordance with Section 10.
Where Pitstop processes personal data contained in Customer Content on behalf of a Client organization, it does so as a processor under a Data Processing Agreement, which is available on request for Team Score and Company Score Clients by contacting support@takeapitstop.com.
You must not submit Customer Content that includes data whose processing would breach applicable data protection legislation, including but not limited to special category personal data as defined under the UK GDPR and EU GDPR. You are responsible for ensuring that any personal data contained within Customer Content is handled in accordance with your own data protection obligations.
15. DISCLAIMERS
The Services and Outputs are provided on an as-is and as-available basis. To the fullest extent permitted by law, Pitstop disclaims all warranties, express or implied, including fitness for a particular purpose, accuracy, and non-infringement.
Professional Services
Pitstop does not provide legal, medical, financial, or other licensed professional advice. References to "coaching" within the Services describe an AI-assisted feedback experience and do not create a professional coaching, employment, or fiduciary relationship.
AI Limitations
AI-generated Outputs, including role-play feedback and scores against the Pitstop Standard or a Company Standard, are based on patterns and probabilistic analysis. They may not be accurate, complete, or suitable for every situation. AI systems may reflect biases present in training data and may not fully understand cultural contexts, individual nuances, or complex circumstances. Human judgment and professional oversight remain essential.
16. LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits either party's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.
Subject to the above, to the fullest extent permitted by law, Pitstop shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of revenue, profits, data, or business arising from your use of the Services.
Subject to the above, Pitstop's total aggregate liability arising out of or in connection with the Services and these Terms shall not exceed: (a) for paid engagements, the fees paid or payable by you to Pitstop in the 12 months preceding the event giving rise to the claim; and (b) for free products (including Challenge, Rep Score, and Team Score), one hundred euro (€100).
17. INDEMNIFICATION
You agree to indemnify and hold harmless Pitstop and its affiliates from any third-party claims, damages, or expenses (including reasonable legal fees) arising from your Customer Content, your breach of Section 6 (Consent and Lawful Recording), your violation of these Terms, or your unlawful use of the Services.
18. TERM, SUSPENSION, AND TERMINATION
These Terms apply from the date you first access the Services and continue until terminated.
You may stop using the Services and close your account at any time by contacting support@takeapitstop.com. Termination of a paid engagement is governed by the applicable Order Form.
Pitstop may suspend or terminate access to the Services for material violation of these Terms, non-payment, security risk, or legal compliance reasons. Where practicable, Pitstop will give you notice and an opportunity to remedy the issue before termination.
Upon termination: your right to access the Services ceases; you may request an export of your Customer Content within 30 days of termination, after which Pitstop may delete Customer Content and Practice Content in accordance with its retention practices and the Privacy Policy; and any provisions of these Terms that by their nature should survive (including Sections 5, 9, 11, 12, 16, 17, and 21) will survive.
19. AI GTM LAB AND WORKFLOW PACKS
Pitstop publishes educational content through the AI GTM Lab, including playbook talks and downloadable Workflow Packs. This content is provided for general informational purposes only and does not constitute professional, legal, or business advice.
Where you provide your work email, role, or company name to access a Workflow Pack or related content, that information will be processed in accordance with our Privacy Policy, and you may receive related communications from Pitstop, which you may opt out of at any time.
20. CHANGES TO THE SERVICES OR TERMS
Pitstop may modify the Services or these Terms from time to time. If we make material changes to these Terms, we will give you reasonable advance notice (for example by email or in-platform notification) of at least 30 days before the changes take effect, unless a shorter period is required for legal or security reasons. Continued use after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services before the changes take effect.
21. GOVERNING LAW AND DISPUTES
These Terms, and any dispute or claim arising out of or in connection with them or the Services (including non-contractual disputes or claims), are governed by the laws of Ireland.
The courts of Ireland shall have exclusive jurisdiction over any such dispute or claim, except that nothing in this section deprives you of any mandatory consumer protections, or the right to bring proceedings in your local courts, available under the laws of the country in which you reside where you use the Services as a consumer.
Before commencing formal proceedings, the parties agree to attempt in good faith to resolve any dispute through discussion between authorized representatives.
22. GENERAL
Entire agreement. These Terms, together with the Privacy Policy, the Cookie Policy, and any applicable Order Form, constitute the entire agreement between you and Pitstop regarding the Services and supersede all prior agreements on that subject.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
Waiver. A failure to enforce any provision of these Terms is not a waiver of the right to enforce it later.
Assignment. You may not assign or transfer these Terms without Pitstop's prior written consent. Pitstop may assign these Terms in connection with a merger, acquisition, or sale of assets, subject to equivalent protections for you.
Force majeure. Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control.
Notices. Notices to Pitstop must be sent to support@takeapitstop.com or the registered address below. Notices to you may be sent to the email address associated with your account.
